1. Acceptance of Terms

By accessing or using ReelScribe ("the Service"), operated by SIÁN OÜ, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

ReelScribe provides AI-powered transcription services for audio content from Instagram reels and other platforms. To use the Service, you must create an account. Transcription results are stored in your dashboard and accessible at any time.

• Account Required: You must create an account to use the Service
• Credit-Based: Transcriptions are purchased using credits
• Dashboard: Your transcription history is stored and accessible
• Subscription Plans: Monthly subscription plans are available with tiered credit allowances and storage limits

3. Account Creation & Authentication

3.1 Account Requirements

• You must be at least 16 years old to create an account (18 in some jurisdictions)
• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized use of your account

3.2 Authentication

Authentication is provided by Clerk, a third-party service:

• Your authentication data is managed securely by Clerk
• You agree to Clerk's terms of service and privacy policy
• We are not responsible for authentication failures or issues

4. Credit System

4.1 Free Tier Credits

• Each account receives 25 free credits on signup (one-time grant, not monthly)
• Free tier accounts do not receive monthly credit renewals
• Free tier accounts have a 25-transcription storage limit
• We reserve the right to modify the free credit allocation at any time

4.2 Subscription Plans

Monthly subscription plans are available with the following tiers:

• Starter: 500 credits per month for €4.99/month (100-transcription storage limit)
• Pro: 1,500 credits per month for €12.99/month (500-transcription storage limit)
• Business: 5,000 credits per month for €29.99/month (unlimited transcript storage)
• Credits reset to your tier's allowance at the start of each billing cycle; unused credits do not roll over
• You may upgrade or downgrade your plan at any time; changes take effect at the next billing cycle

4.3 Credit Usage, Storage & Refunds

• One credit is deducted per transcription attempt
• Credits are non-refundable except as required by law
• If a transcription fails, the credit will be automatically refunded to your account
• Credits reset each billing cycle and are not cumulative
• Each subscription tier includes a transcript storage limit; you may delete completed or failed transcriptions to free space
• Transcriptions that are in-flight (submitted or processing) cannot be deleted

5. Payment Terms

5.1 Payment Processing

• Payments are processed securely through Stripe
• We do not store your full credit card information
• By subscribing, you authorize recurring monthly charges to your chosen payment method
• You confirm that you are authorized to use the payment method provided
• You can manage your subscription and payment methods via the Stripe Customer Portal

5.2 Pricing, Cancellation & Refunds

• All prices are displayed in EUR and include applicable VAT
• We reserve the right to modify pricing at any time with notice
• Subscriptions auto-renew monthly until cancelled
• You may cancel your subscription at any time via the Stripe Customer Portal; cancellation takes effect at the end of your current billing period
• You retain subscription benefits (credits and storage limit) until the end of your billing period
• After your billing period ends, your account reverts to the Free tier
• You have a 14-day right of withdrawal for your initial subscription purchase, provided credits have not been used

6. User Responsibilities and Restrictions

6.1 Permitted Use

• You may use the Service only for lawful purposes
• You must have sufficient credits to use the Service
• You are responsible for maintaining the confidentiality of your account

6.2 Prohibited Use

You agree NOT to:

• Use the Service to process content you do not own or have permission to transcribe
• Submit URLs to third-party platforms in violation of their terms of service
• Use the Service for any illegal, harmful, or unauthorized purposes
• Attempt to circumvent credit system or security measures
• Create multiple accounts to abuse the free credit system
• Interfere with or disrupt the Service

6.3 Content Responsibility

• You are solely responsible for ensuring you have the right to transcribe submitted content
• You acknowledge that processing third-party platform content may violate their terms of service
• You indemnify us against any claims arising from your use of content you do not own

7. Third-Party Platform Compliance

7.1 Instagram and Other Platforms

• IMPORTANT: Accessing content from Instagram or other social media platforms may violate their Terms of Service
• You acknowledge that we do not guarantee compatibility with third-party platform policies
• Use of URLs from third-party platforms is entirely at your own risk
• We may suspend the Service if third-party platforms object to our operations

7.2 Your Compliance Obligations

• You must comply with all applicable third-party platform terms
• You represent that your use does not violate any third-party rights
• You will not use the Service in ways that could harm our relationship with third-party platforms

8. Content Ownership and Copyright

8.1 Your Content Rights

• You retain ownership of all content you submit to the Service
• By submitting content, you grant us a revocable, worldwide, royalty-free, non-exclusive license to process your content solely for providing transcription services
• This license terminates when you delete your account or the content

8.2 Content Responsibility and Copyright Compliance

• You represent that you own or have permission to transcribe all submitted content
• You acknowledge that transcribing copyrighted material without permission may constitute copyright infringement
• We are not responsible for copyright violations arising from your use of the Service
• We do not use your content or transcriptions to train AI models

8.3 DMCA Policy

• We respond to valid DMCA takedown notices within 24-48 hours
• If you believe your copyrighted work has been infringed, contact us at support@reelscribe.app
• We maintain a formal repeat infringer policy and will terminate accounts of users who repeatedly infringe copyrights
• Counter-notice procedures are available for disputed takedown requests

8.4 Our Intellectual Property

• The Service, including its software, design, and content, is our property
• You may not copy, modify, reverse engineer, or distribute our intellectual property
• Any feedback or suggestions you provide may be used by us without compensation

9. Privacy and Data Processing

Your privacy is important to us. Please review our Privacy Policy, which governs how we collect, use, and protect your information, including your account data, transcription history, and credit balance.

10. AI Transcription Disclaimers

10.1 Accuracy Limitations

• Transcriptions are generated by AI and may contain errors
• We do not guarantee 100% accuracy of transcriptions
• You should verify important information independently

10.2 No Warranties

Transcriptions are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We expressly disclaim all warranties, whether express or implied, including but not limited to warranties of:

• Accuracy, completeness, or reliability of transcriptions
• Fitness for a particular purpose
• Non-infringement
• Merchantability

11. Service Availability

11.1 Service Interruptions

• We do not guarantee uninterrupted service availability
• We may suspend or modify the Service at any time
• We are not liable for service interruptions or downtime
• Third-party services (Clerk, Stripe, Convex, n8n) may experience outages beyond our control

11.2 Service Modifications

• We may modify or discontinue any aspect of the Service at any time
• We are not required to provide refunds for Service modifications
• We may introduce new features or fee structures with notice

12. Limitation of Liability

12.1 Disclaimer of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS
• WE ARE NOT LIABLE FOR DAMAGES ARISING FROM THIRD-PARTY PLATFORM VIOLATIONS
• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND

12.2 Indemnification

You agree to indemnify, defend, and hold us harmless from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from:

• Your violation of these Terms
• Your violation of third-party rights or platform terms
• Your use of submitted content or transcribed content
• Any copyright or intellectual property claims related to your content
• Any breach of your representations and warranties
• Any negligent or wrongful conduct by you in connection with the Service

13. Termination

13.1 Termination Rights

• We may suspend or terminate your access at any time for:
  • Violation of these Terms
  • Potential legal, safety, or security concerns
  • Repeat copyright infringements
  • Abuse of the Service or credit system
  • Inactivity for an extended period
• You may delete your account at any time through your dashboard or by contacting us
• Upon termination, your content license to us is automatically revoked

13.2 Effect of Termination

• These Terms survive termination where applicable
• We are not liable for termination-related damages
• Upon account deletion, your data will be removed within 30 days
• Credit Forfeiture: Upon account deletion, all remaining credits will be permanently forfeited and any active subscription will be cancelled. We recommend cancelling your subscription via the Stripe Customer Portal and using your remaining credits before deleting your account. If you have a significant unused credit balance and wish to discuss your options, please contact us at support@reelscribe.app before initiating deletion. Refunds are only available within the 14-day withdrawal period after your initial subscription purchase or as required by applicable law.

14. Legal and Regulatory Compliance

14.1 Governing Law

• These Terms are governed by the laws of Estonia
• As an EU-based company, we fully comply with GDPR and other EU regulations
• Any disputes will be resolved in the courts of Harju County, Estonia

14.2 Consumer Rights

• EU consumers have additional rights under EU consumer protection laws
• Nothing in these Terms limits your statutory consumer rights
• You may have a right to withdraw from your subscription within 14 days

14.3 Regulatory Changes

• We may modify the Service to comply with legal requirements
• You acknowledge that regulatory changes may affect Service availability

15. Changes to Terms

• We may update these Terms at any time
• Continued use constitutes acceptance of updated Terms
• We will notify users of material changes via email or Service notifications
• Material changes will take effect no sooner than 30 days after notification

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SIÁN OÜ regarding the Service.
